Guest Michelle Meade Posted April 8, 2013 at 06:00 PM Report Share Posted April 8, 2013 at 06:00 PM Is it proper for general members to attend a board meeting? Audiors only? If so, what is the proper proceedure to meet with the board about a delicate issues involving a general member or situation?
Gary Novosielski Posted April 8, 2013 at 06:11 PM Report Share Posted April 8, 2013 at 06:11 PM I don't know what an Audior is.It is proper for members of the board to attend board meetings, plus anyone whom the board invites to attend, or those who have rights afforded by some special rule in your organization. Guest Michelle Meade Posted April 8, 2013 at 06:23 PM Report Share Posted April 8, 2013 at 06:23 PM An auditor is someone that attends a function (seminar, meeting, etc.) that only participates to listen. (audible participant, like an audience)
Guest Michelle Meade Posted April 8, 2013 at 06:29 PM Report Share Posted April 8, 2013 at 06:29 PM What if the bylaws say that any member can attend a board meeting? Can the president call an executive session? Is this the same as a closed meeting?
Chris Harrison Posted April 8, 2013 at 07:19 PM Report Share Posted April 8, 2013 at 07:19 PM What if the bylaws say that any member can attend a board meeting? Can the president call an executive session? Is this the same as a closed meeting? If the auditor is a member of the organization then I suppose that bylaw provision would apply. The President doesn't have the authority (under RONR) to unilaterally put the meeting into Executive Session (that authority belongs to the Board). Whether going into Executive Session would suffice under your bylaws to make the Members leave is for you all to determine.
Josh Martin Posted April 8, 2013 at 08:00 PM Report Share Posted April 8, 2013 at 08:00 PM Can the president call an executive session? Is this the same as a closed meeting? Not exactly. Under RONR, executive session would mean that not only is the meeting closed to all except members of the board (and those the board has specifically invited), but that members can't discuss anything that happens there with non-members of the board, except what the board has chosen to disclose. As noted, it's up to your organization to interpret its own Bylaws.
