Guest Sheila Posted September 8, 2013 at 03:55 PM Report Share Posted September 8, 2013 at 03:55 PM Our current president is not running again, and there may not be anyone willing to step up to this position. Can a board function with fewer than the allotted number of members, especially if one of them is the president. If the treasurer agrees to be president, can he/she also serve as treasurer or interim finance officer, etc. if no one fills the treasurer's position. This is an association of elderly tenants, and getting a full board is always a challenge. Our bylaws merely state that positions vacated by resignation should be filled by election, but no more than that.

Yes (although it may be problematic, depending on what duties your bylaws assign to the President). If the treasurer agrees to be president, can he/she also serve as treasurer or interim finance officer, etc. if no one fills the treasurer's position. Unless your bylaws provide otherwise, a member may serve as President and Treasurer. If no one else fills the Treasurer's position, you can simply elect the President to that position as well. There is no such thing as an "Interim Finance Officer" unless your bylaws so provide. If your bylaws prohibit a member from serving in more than one office, you can't get around the bylaws by just giving the Treasurer a different title.
