Are you making a distinction between "functions as the secretary and treasurer of the board" and BEING the secretary and treasurer ..?? Check your bylaws, minutes and records of elections, voting, etc. to determine exactly who is the secretary and the treasurer. A basic (to me) question is if she is not the secretary and the treasurer, then why aren't the secretary and treasurer doing those duties? Link to comment Share on other sites More sharing options...
