Guest Jeff Sheets Posted September 13, 2013 at 08:20 PM Report Share Posted September 13, 2013 at 08:20 PM I belong to an organiztion that within the bylaws a word or two was left out of the typing of the bylaws a few years ago. My questions is does it take an amendment to the bylaws to correct this if it does not change the meaning of the bylaws?

Guest Edgar Posted September 13, 2013 at 08:57 PM Report Share Posted September 13, 2013 at 08:57 PM . . . a word or two was left out of the typing of the bylaws a few years ago. Yes, it takes an amendment to correct this. Well, if the mistake was simply in the typing of a copy of the bylaws then no amendment is needed. Just correct the copy. Check the minutes of the meeting at which the bylaws were amended. That's where you'll find the official text of the amendment. Don't confuse a copy of the bylaws with the bylaws themselves. Or, as I never tire of saying, don't confuse the map with the territory.
Guest Edgar Posted September 13, 2013 at 09:00 PM Report Share Posted September 13, 2013 at 09:00 PM Check the minutes of the meeting at which the bylaws were amended. Or, if never amended, the meeting at which the bylaws were originally adopted.
