Guest Billy G Posted September 14, 2013 at 12:22 AM Report Share Posted September 14, 2013 at 12:22 AM Our bylaws mention the notification of our annual meeting is as follows: Voting members must be notified ( letter, newsletter, etc. ) of the date and location at least 30 days prior to the meeting There is no provision for amendment of the bylaws in them, and the call of the meeting has already been sent out. A member wants to bring a bylaw amendment before the membership that was not in the call, and said so after the call was sent out but before the 30 days. Can they do so? Or does this fall under interpretation of our bylaws? I almost think it has nothing to do with our bylaws since our bylaws don't specify how they are amended. jstackpo Posted September 14, 2013 at 01:01 AM Report Share Posted September 14, 2013 at 01:01 AM If the bylaws really are silent on how they are amended, and you have adopted RONR as your Parl. Authority, see page 581 for the default rules for bylaw amendment.

If the bylaws are silent regarding their amendment, then a member may make a motion to amend the bylaws without notice... however, the vote required in such a case is a vote of a majority of the entire membership, which may be difficult to obtain.
