suspend the rules

At our annual condo association meeting, after the proof of notice of meeting (item #2) was approved, I made a motion to suspend the rules so that we can move the discussion of flood damage to the beginning of the meeting. The owner of the condo maintenance company said since the agenda was approved, I was in violation with the motion. I thought the purpose of suspending the rules was to open discussion on the subject stated in the motion.

Assuming that your motion did not need notice, you could have suspended the rules to take the motion out of order.  You should have appealed his decision.

There are no rules. I made a motion to have Roberts rules be the order for the meeting. It was passed. The management/maintenance company did not want to lose control of the meeting and have a free discussion. They also misused the proxy. There are 34 units in the condo, a quorum is 18. There were 18 members present with the two proxies that I had. The board stated that there was 85.202 per cent ownership present, that equals 29 members. so that means the board used 11 proxies to give them a decisive vote count.

Since RONR doesn't deal with proxies (other than say they are improper unless the bylaws authorize them), I fear you are on your own in sorting this out.  You might need to seek out legal help, if you want to take this further.

The proxy incident is done. Just brought this up to show how the association is manipulated by the management company.
