You should also approve the minutes from the inquorate 2012 meeting. (Even without a quorum, you had a short meeting -- I hope -- and should therefore have minutes.) Two years is a long time for the members to recall the details of the meeting. Just do your best to make any corrections that you can recall. In future annual meetings, the members should appoint a committee and authorize them to approve the minutes, or they could authorize the Board to do it. Also, you all should figure out what happened to the lost minutes because having records of the organization go missing is a less than satisfactory occurrence.
