If 2 of those positions are vacant does the position still count in the total number needed for a quorum, or would the total number now be 16? Sean Hunt Posted October 21, 2013 at 06:58 AM Report Share Posted October 21, 2013 at 06:58 AM I don't quite follow the relationship between the number of committees and quorum, and you'd have to read your bylaws specifically to be sure. If they used language like "a majority of members" or "one third of directors", then this is normally taken to mean only occupied positions. If it said something like "the chairmen of a majority of the committees", then it doesn't matter if some committees lack chairmen; they are still committees so would still have to be counted.
