This process has been led by our executive committee (board chairmen, 1st vice-chair, 2nd vice-chair, secretary, treasurer). As the full board convenes in an "executive session" meeting without the current president/exec director, can a motion be made by the executive committee to replace the president - with the minutes recording "motion by the executive committee" -- or does a motion have to come from an individual on the executive committee (or someone on the board)? But one question: How can you exclude the current president from the Board meeting, of which he is (at that time) a full member with all membership rights? Is that in your rules? Motions are made by actual members. That member might make that motion on behalf of the Executive Committee, if the EC voted to make a recommendation to the board, but you still need someone to actually make the motion. You should also check the disciplinary procedures in your bylaws to see if they have anything to say on the subject. While you're at it, you should check whether they authorize the board to remove the President from his position and whether they authorize the board to exclude the President from that meeting.
