The phrase "conflict of interest" is not used in RONR, but RONR does provide that a member who has a "personal or pecuniary interest not in common with other members" should not vote, but even in such a case he retains the right to vote. Based on the limited facts presented, it's not clear to me whether the board members have such an interest. For example, if there are ten general members, of which four are on the board, then a vote by of four non-board members in opposition to the decision of the board would result in an overturn of the decision, even though a majority of the general members were in favor of the decision.
