It also means that the vice chairman would become chairman. But now you're only halfway toward "switching positions", and that's where you get stuck. He can't just decide to be vice chairman, any more than I can. How the new vice chairman gets appointed is something we can't tell you. It depends on what these "chairmen" are chairmen of, how they got elected in the first place, and who has the authority to fill vacancies. Guest Guest Posted April 3, 2014 at 05:45 PM Report Share Posted April 3, 2014 at 05:45 PM Thank you for the quick response and you are correct it does answer half the of the problem... it is a non for profit organization with elected trustees and the trustees elect the executive committee. The by-laws state the chairman may appoint a vacancy to fill an open trustee position unfortunately the by-laws do not mention filling a vacant executive board member position. I am assuming a motion will need to be made by the nominating committee to have the former chairman fill the now vacant vice chairman position and the trustees vote? Since the trustees elect the executive committee in the first place, they can elect new members in the second place, to fill out the unexpired portion of the original term.
