Resignation of Chairman

Well, a chairman can resign,which means (when the resignation is accepted) that he's no longer chairman.  It also means that the vice chairman would become chairman.

 

But now you're only halfway toward "switching positions", and that's where you get stuck.  He can't just decide to be vice chairman, any more than I can.

 

How the new vice chairman gets appointed is something we can't tell you. It depends on what these "chairmen" are chairmen of, how they got elected in the first place, and who has the authority to fill vacancies.  That will depend how this body was formed, and probably what your bylaws say.

Thank you for the quick response and you are correct it does answer half the of the problem... it is a non for profit organization with elected trustees and the trustees elect the executive committee. The by-laws state the chairman may appoint a vacancy to fill an open trustee position unfortunately the by-laws do not mention filling a vacant executive board member position. I am assuming a motion will need to be made by the nominating committee to have the former chairman fill the now vacant vice chairman position and the trustees vote?
