Guest Brian Posted April 8, 2014 at 04:51 PM Report Share Posted April 8, 2014 at 04:51 PM If a board consists of both voting and non-voting members, does any rule or custom prohibit non-voters from making motions? Thank you for any advice. Brian
Josh Martin Posted April 8, 2014 at 04:58 PM Report Share Posted April 8, 2014 at 04:58 PM If a board consists of both voting and non-voting members, does any rule or custom prohibit non-voters from making motions? There's no such thing as a "non-voting member" in RONR, so it does not have an answer to your question. If your bylaws provide for "non-voting members," it's up to your organization to figure out what that means. See RONR, 11th ed., pgs. 588-591 for some Principles of Interpretation. I'd pay particular attention to Principles of Interpretation #4 and #8.
George Mervosh Posted April 8, 2014 at 06:31 PM Report Share Posted April 8, 2014 at 06:31 PM So, Guest_Brian, out of curiousity, what is the current custom in this matter? It's probably best to follow it until it is determined that the custom conflicts with your group's written rule on the matter.
