Does Chairman Have Right To Deny Membership Action?

During a regular meeting of our organization, a motion was made and passed to have up to 3 members attend an upcoming out of town meeting that our Chairman was invited to.  The reason for this action was to have extra eyes and ears present during this meeting since the topic was going to affect many of our younger members.

 

The Chairman, who was unable to attend the meeting when this action was taken, said that he was the only one invited to this meeting and that no one else could attend and that he would cancel the meeting if up to three members were going to accompany him to this meetnig.

 

In this scenario, since the Chairman was the only one "officially invited" to this meeting but action was taken during a membership meeting to send up to 3 others to this same meeting, is such action null and void based upon who was officially invited in the first place?

The motion seems valid to me, although it will be up to the assembly at the out of town meeting to determine whether to admit the uninvited guests, unless the organization's rules or applicable law provide otherwise.

 

If the chairman does, in fact, have the authority to cancel the meeting in question (check the rules of the organization), however, then I suppose the meeting won't happen if these members show up.
