Josh Martin Posted April 16, 2014 at 07:08 PM Report Share Posted April 16, 2014 at 07:08 PM If 2 members of a 9 person Board of Directors resign, and the remaining 7 members meet, is the quorum still 5, or is it reduced to 4? So far as RONR is concerned, the quorum for a board is a majority of the current members, so the quorum would be reduced to four in the situation you describe. But be sure to check whether your bylaws have their own rules on this subject.
David A Foulkes Posted April 17, 2014 at 11:11 AM Report Share Posted April 17, 2014 at 11:11 AM And just to be picky, as a resignation (under RONR) is a request to be excused from a duty, until the resignations are accepted the members are still members of the BoD and your quorum (most likely) is still 5.
