Guest Guest Posted April 17, 2014 at 04:40 PM Report Share Posted April 17, 2014 at 04:40 PM Are the Board of Directors and the Officers of the Association the same person? We currently have 3 people on the Board of Directors that hold the title of President, Vice President and Secretary.
Weldon Merritt Posted April 17, 2014 at 04:57 PM Report Share Posted April 17, 2014 at 04:57 PM The officers do not automatically constitute the board. In fact, you have no board unless your bylaws create one. If the bylaws do create a board, they will (or at least should) defined who is on iit. Typically that will include the officers, but in some organziations it also includes other members (e.g., committee chairs), But agian, you don't have a board at all unless your bylaws create one. Guest Edgar Posted April 17, 2014 at 08:20 PM Report Share Posted April 17, 2014 at 08:20 PM Everyone on a board of directors is a director (just as everyone on a board of trustees is a trustee). Some of these people may also hold other offices (e.g. president, secretary, etc). Conversely, these oher officers (e.g. president, secretary, etc.) aren't necessarily members of the board. Finally, RONR says that board members should be "classed as officers" (p.572).
