Guest Suzi-Q Posted April 21, 2014 at 09:06 PM Report Share Posted April 21, 2014 at 09:06 PM I am a member of a board of directors that oversees a non-profit organization. The paid director of the organization is always present at our meetings, but there are times we would like to discuss things without her. The most important of these issues is discussing her salary and yearly raises. She is always present when we vote on her salary which causes an uncomfortable situation. According to Robert's Rules of Order, is this appropriate, or should she excuse herself while we discuss and vote?
Guest Edgar Posted April 21, 2014 at 09:12 PM Report Share Posted April 21, 2014 at 09:12 PM The board is free to admit or exclude non-members (of the board) as it chooses. So if your Director is not a member of the board, show her the door. If she is, staying or leaving is up to her.
