Whether or not the former president remains a member of the board depends on whether his board membership is contingent on or independent of him being president. You'll need to elect a new vice-president and, if the board does the electing, and if the former president is still a member of the board (see above) he can vote. If the directors elect the officers, then the person who is serving as the President could then stay on the Board as a director as the two positions are deemed separate. However, if the President is directly elected to the Board by the membership, then once the resignation is accepted (a resignation has to be accepted) then the President is no longer on the Board. Of course, there is a way around this. If there is a Board meeting on or before April 30th, then the resignation could be effective May 1st. Once accepted at the meeting, the President would no longer be presented on May 1st, not at the meeting. Thus the Board (if they have the power to fill vacancies) could appoint the outgoing President as the New Vice President and the person currently the President could vote as the resignation has not taken effect.
