I serve on a local little league board of directors. I would like to call an emergency meeting of the board of directors, but I can't find anything in our local by-laws pertaining to this procedure. We meet under Roberts rules so I am wondering if anyone can help me out with this procedure?

"Special meetings can properly be called only ( a ) as authorized in the bylaws (see p. 576); or ( b ) when authorized by the assembly itself, as part of formal disciplinary procedures, for purposes of conducting a trial and determining a punishment (see footnote, p. 661)."  RONR (11th ed.), p. 92

If your bylaws don't authorize special meetings and ( b ) above doesn't apply, a special meeting cannot be held.
