I would like to call an emergency meeting of the board of directors,but I can't find anything in our local by-laws pertaining to this procedure. According to RONR, if your bylaws do not contain any provisions for how special meetings are called, then you cannot have special meetings, period. "Special meetings can properly be called only ( a ) as authorized in the bylaws (see p. 576); or ( b ) when authorized by the assembly itself, as part of formal disciplinary procedures, for purposes of conducting a trial and determining a punishment (see footnote, p. 661)." RONR (11th ed.), p. 92 If your bylaws don't authorize special meetings and ( b ) above doesn't apply, a special meeting cannot be held. Link to comment Share on other sites More sharing options...
