He has no granted authority under our bylaws and his duty description states as follows: President: Shall be the Chief Executive Officer with the overall responsibility of the (League) conducting business as set forth by the Board of Directors. The President shall be the overall responsible person for implementing the policies and procedures set forth by the Board of Directors. Shall be a member of the Executive Board, Preside at all the meetings and has the overall responsibility to maintain proper procedures and compliance with Robert's Rules of Order. Is he out of order? But he's certainly acting improperly and would be subject to discipline. He could also be personally (and financially) responsible for any decisions he implemented that were not "set forth" by the board. See FAQ#20. Well, he has no granted authority except the authority granted.The bylaws provision that you quoted is sufficiently vague to make it quite unclear whether the president can in fact make the decisions he has decided he can make (and it would still be unclear even if we knew what types of decisions you are talking about). He is making his decisions and tells the board afterwards. Changing league schedule 3 days before the start of the season, makes statements like I will decide this and that, We are supposed to be under RONR and when the board makes a decision for him to act on, if he does not want to do it, he simply doesn't do it. Most board members simply show up and not much more. I have tried calling him on it but most members know less about RONR than he does. Feels more like dictatorship than RONR. It seems clear enough that the President is exceeding his authority if he acts directly in contradiction with or refuses to carry out a policy adopted by the board, and that seems to be at least part of the problem.
