Ex Felon assist the entire Board of Directors

We have an exfelon who is busy assisting the Board of Directors. Assisting in the Office. Assisting ACC. Basically running our monthly board meetings. And the President says she can do whatever she wants because he has appointed her to be his assistant? Some of the Board of Directors are agianst it. But they were not allowed to vote because the President says he appointed her to assist him.'

I suppose the President can appoint whoever he pleases to be his assistant, but this doesn't give this person any authority unless your rules so provide. The President certainly cannot appoint someone else to preside without the board's consent.
