plcorir Posted May 16, 2014 at 05:01 AM Report Share Posted May 16, 2014 at 05:01 AM Do Standing Rules that have been adopted by an existing Board of Directors automatically carry over to a newly-elected Board? As an example, we have a Standing Rule in place that says that the President must have served at least one year on the Board of Directors. Does this standing rule need to be honored by a newly-elected Board when they are appointing new officers or does the new Board need to create its own Standing Rules? Yes... As an example, we have a Standing Rule in place that says that the President must have served at least one year on the Board of Directors. Does this standing rule need to be honored by a newly-elected Board when they are appointing new officers or does the new Board need to create its own Standing Rules? I don't think that's a Standing Rule, as Robert's Rules uses the term, and I hazard that, if the rule means that somebody must first serve a year on the board to be eligible to serve as the president, then such a rule must be at least at bylaws-level. -- But if the rule is, in fact, valid, then it stands until rescinded (see the second footnote on p. 111).
