Guest Concerned Member Posted May 21, 2014 at 02:40 PM Report Share Posted May 21, 2014 at 02:40 PM Our NEW Board of Directors seem to have alot of meetings every month. There is No Noticed Posted in regards to meeting. 1. When a member ask any questions. The President response is "Oh we we were having a Workshop" 2. They seem to discuss the Agenda and Vote at their Workshop. Because at the Monthly meetings, they announce they are going to spend, buy, or whatever they have decided to do. Without a motion or vote on any discussion they have at their workshops. 3. For our Annual meeting they are going to hire a company to run our election. The company has no clue (nor do our Board Members) how to run an election. Is any of this LEGAL?
Gary Novosielski Posted May 21, 2014 at 02:47 PM Report Share Posted May 21, 2014 at 02:47 PM Nothing wrong with the meetings, as far as RONR is concerned. Only board members need to be notified of board meetings, and they can vote on anything they like whether it's called a meeting, a workshop, or whatever. Are the monthly meetings Board meetings, or Membership meetings? It makes a difference. The Annual meeting is not under the control of the board (unless your bylaws give them that power), so they can't hire anyone or delegate anyone to run it. The membership, however, can. But depending on the type of organization you're talking about, state laws may supersede some or all of the above. More details may get you a better answer. Guest Concerned Member Posted May 21, 2014 at 02:53 PM Report Share Posted May 21, 2014 at 02:53 PM State laws In Texas supersede some of our Bylaws. It is a Property Owners Association. Monthly meetings are Board meetings. For our Annual meeting our Bylaws are silent.
