Guest Dave Posted June 2, 2014 at 06:00 PM Report Share Posted June 2, 2014 at 06:00 PM We have an 20 league officials that vote for an 10 person executive board for a term of 2 years One on the executive members resigned after a heated meeting about the way the executive board treated him , in response the executive board passed a rule saying that if anybody resigns ,that person can't run for an executive position unless the executive board votes and that person gets 75% vote. No discussion was taken and it passedI'm one of the league officials trying to get the others to change it to the league officials have to vote if its okay for him to run for an executive position. Being non profit I'm not sure if #1 can they put a rule like that in place and #2 is this legal
Gary Novosielski Posted June 2, 2014 at 06:05 PM Report Share Posted June 2, 2014 at 06:05 PM Rules about qualifications for office are contained in the bylaws, and in most organizations, the executive board cannot change the bylaws--at least not without approval of the membership in some organizations, and not at all, in others--but certainly not without following the bylaws amendment procedures contained in the bylaws themselves. Just passing a motion is usually not enough. You'll need to read your bylaws carefully to see whether the board has overstepped its powers. Edgar Guest Posted June 2, 2014 at 08:16 PM Report Share Posted June 2, 2014 at 08:16 PM While you're at it (and assuming you have only a board and not a board plus a smaller executive committee), you might want to get rid of the word "executive". Call your board a Board of Directors and avoid potentially confusing terms like "executive member" and "executive position".
