Dan Honemann Posted June 9, 2014 at 12:34 PM Report Share Posted June 9, 2014 at 12:34 PM Can the chairman of the board call a closed board meeting when there are important matters to be discussed before the information is ti be reported to the body. As far as the rules in RONR are concerned, a board decides for itself (most often by unanimous consent or, if necessary, by majority vote) when and if it will meet in executive session. The chairman has no power to do this on his own.
Rev Ed Posted June 9, 2014 at 03:09 PM Report Share Posted June 9, 2014 at 03:09 PM When the Chairman calls the meeting to order he can say something like this: "If there is no objection we will hold this meeting in Executive Session. (pause for objections) As there are no objections, we are now in Executive Session." If there is an objection, there would have to be a vote.
