Our bylaws state :

Quorum:  The Executive Committee and an equal number of members in attendance at any meeting where voting is required shall constitute a quorum. 

 

If one of the members of the executive committee is unable to attend the meeting, does that mean that no quorum can exist?

That's certainly one possible interpretation. I suggest you amend your bylaws as soon as possible so one person can't prevent the association from acting simply by staying home (or at the bar across the street).

 

But is this really the quorum requirement for meetings of the (general membership of the) association? It might make a little more sense if it was the quorum requirement for meetings of the board (of which the executive committee is typically a subset).

That's some strange bylaws ya got there.  Is this a quorum requirement for a general membership meeting, or an Executive Committee meeting?
