voting at AGM for non acclaimed members

Bylaws state that "Vacancies on the Board of Directors, however caused, may, so long as a quorum of Directors remains, be filled by the Directors from amoung the qualified Members of the Corporation, otherwise such vacancy shall be filled at the next Annual General Meeting. "

 

We have recruited 3 new members from outside the "members of the corporation" during this year and the intent is to have them acclaimed at the AGM. 

 

So does this mean that there should be no new members during the year and that they will be recruited prior to the AGM to be acclaimed as members at the AGM?

If the board can't fill vacancies with non-members then these three "recruits" are not members of the board.

I think the board should fill the vacancies as soon as possible but I suppose it can wait and let the general membership admit ("acclaim"?) these three new members (at the AGM) and then elect them to the board.

Ok, wait.  When you say "acclaiming" do you mean admitting them into membership? 

 

If that's the case; and,

  • they are not members now; and,
  • only members can sit on the board; and,
  • members are voted in at the AGM; and,
  • there is no other way to become a member before that, then,

you ether have to wait, or fill the vacancies now with people who are qualified to hold office.
