Guest Toni Posted June 12, 2014 at 06:24 PM Report Share Posted June 12, 2014 at 06:24 PM I have three board members who have been voted in during board meetings but have yet to be accalimed at the AGM. Can these three vote at the AGM or must they wait until they have been acclaimed at the AGM?
Bruce Lages Posted June 12, 2014 at 06:34 PM Report Share Posted June 12, 2014 at 06:34 PM "Acclaiming" officers who have already been elected is a concept foreign to RONR - do your rules spell out what this process involves?
Gary Novosielski Posted June 12, 2014 at 07:20 PM Report Share Posted June 12, 2014 at 07:20 PM In the usual case, the AGM elects members to the board. Apparently you have some other route to the board that is not quite so straightforward. Where are those rules found?
Guest Guest Posted June 17, 2014 at 01:56 PM Report Share Posted June 17, 2014 at 01:56 PM Bylaws state that "Vacancies on the Board of Directors, however caused, may, so long as a quorum of Directors remains, be filled by the Directors from amoung the qualified Members of the Corporation, otherwise such vacancy shall be filled at the next Annual General Meeting. " We have recruited 3 new members from outside the "members of the corporation" during this year and the intent is to have them acclaimed at the AGM. So does this mean that there should be no new members during the year and that they will be recruited prior to the AGM to be acclaimed as members at the AGM? Transpower Posted June 17, 2014 at 02:10 PM Report Share Posted June 17, 2014 at 02:10 PM So your Board of Directors may appoint qualified members to the Board should there be vacancies. There is certainly no need to wait for the AGM.
Gary Novosielski Posted June 17, 2014 at 02:12 PM Report Share Posted June 17, 2014 at 02:12 PM RONR doesn't cover "acclaiming". And apparently your bylaws don't either (based only on what you quoted). Just follow your bylaws, fill the vacancies as provided, and quit worrying about "acclaiming" things. Edgar Guest Posted June 17, 2014 at 02:25 PM Report Share Posted June 17, 2014 at 02:25 PM We have recruited 3 new members from outside the "members of the corporation" during this year and the intent is to have them acclaimed at the AGM. If the board can't fill vacancies with non-members then these three "recruits" are not members of the board. So does this mean that there should be no new members during the year and that they will be recruited prior to the AGM to be acclaimed as members at the AGM?I think the board should fill the vacancies as soon as possible but I suppose it can wait and let the general membership admit ("acclaim"?) these three new members (at the AGM) and then elect them to the board. Gary Novosielski Posted June 17, 2014 at 02:55 PM Report Share Posted June 17, 2014 at 02:55 PM Ok, wait. When you say "acclaiming" do you mean admitting them into membership? If that's the case; and, they are not members now; and, only members can sit on the board; and, members are voted in at the AGM; and, there is no other way to become a member before that, then, you ether have to wait, or fill the vacancies now with people who are qualified to hold office.
