A member of this board, not the president, declared the meeting adjourned with no motion or second to adjourn. A quorum of board members then left the meeting, with this heated, unresolved item of business still on the table. No action to postpone or table..Is any of this acceptable? It certainly isn't the way things are supposed to go. But now you have generated, clearly, a piece of "unfinished business" -- p. 358 ( a ) -- which should come up automatically next meeting.
