Guest Guest Posted June 29, 2014 at 10:56 PM Report Share Posted June 29, 2014 at 10:56 PM Is it possible to add an addendum to the minutes of a three year old annual Board of Directors meeting for a non profit organization and if so, what are the proper procedures? Edgar Guest Posted June 29, 2014 at 11:55 PM Report Share Posted June 29, 2014 at 11:55 PM If the approved minutes are inaccurate they can be corrected by adopting a motion to Amend Something Previously Adopted (ASPA). I'm not sure why you would otherwise want to add something to the minutes. In any case, it's either in the minutes or it's not. There's no "addendum". Guest Steve Posted June 30, 2014 at 12:58 AM Report Share Posted June 30, 2014 at 12:58 AM Thank you, What is it was realized that there was something discussed at an Annual BoD meeting that was not documented in the minutes (after the minutes were approved)? Is there a way to add to the minutes after the approval?
jstackpo Posted June 30, 2014 at 01:10 AM Report Share Posted June 30, 2014 at 01:10 AM Discussion doesn't belong in minutes at all. They should contain only what was done, not what was said. See p. 468. If the assembly insists on including some "documentation" well after the fact, that would be a case of amending something previously adopted - p. 305.
