A BOD meeting was held June 30th ( had 20 day notice) with all current BOD members and all newly elected BOD members for the election of BOD Officers to be effective July 1. Does this meeting count? The minutes, since they weren't approved before the old members left office, should be approved by post-july 1 board and kept with the other minutes of the board. If not what is done with minutes of this meeting?The meeting counts, but the election might not. If it does count, the officers elected may have only been in office until midnight. Barring any contrary provisions in your bylaws, I'd say that at the next board meeting, after the new board members are in office and those departing are not, the board should feel free to elect its own officers.
