That requires a majority vote (or unanimous consent) by whichever body the bylaws designate to accept the resignation - usually that is the body that is empowered to fill the resulting vacancy. If the bylaws are silent then whichever body elected the board member initially is the one to accept the resignation. The letter itself is filed in the secretary's records.
