As a general rule, it's better for the board or executive committee to be subordinate to the assembly, and not the other way around. I've had "difficulties" with organizations in which the assembly is subordinate to the board--this is not a good idea.

In some organizations, they have that power.  Usually not.  The remedy for an out-of-control board will differ considerably depending on the nature of the organization involved.  It may take only a pleasant phone call to the president or it may take legal action or it may be somewhere in between.
