Guest Robert Feinerman Posted July 27, 2014 at 05:13 AM Report Share Posted July 27, 2014 at 05:13 AM If someone is nominated for a position on a Board of Directors, must he/she, somehow indicate willingness to serve? Assume the potential nominee is not present at the meeting.
Steven Britton Posted July 27, 2014 at 06:31 AM Report Share Posted July 27, 2014 at 06:31 AM No one may be compelled to serve in an office without having the opportunity to express his/her willingness to serve. If a member is nominated and elected to an office without having an opportunity to give his/her consent, he/she may still decline the office. Check your bylaws for specific rules concerning your organization's nominating process.
Thomas Ralph Posted July 27, 2014 at 08:18 AM Report Share Posted July 27, 2014 at 08:18 AM I agree with Mr. Britton but wish to emphasize that a person may be nominated and elected in his absence. He then has the opportunity to decline the election when informed.
Transpower Posted July 27, 2014 at 12:55 PM Report Share Posted July 27, 2014 at 12:55 PM But, as a matter of common sense, the nominating committee or the nominator should first meet with the candidate to ascertain his or her interest in the position.
