Are elists actually board meetings? Can a board member be excluded from a board elist without some kind of due process?

Our board has an ASIE that allows meetings to be public "with the exception of necessary interim business conducted via any electronic means available."

 

If that's the case and all members are on the elist, doesn't that constitute a meeting of the board?

What would be the procedure for excluding a board member from the elist?

To be a "meeting" you have to "meet" (same place, same time sort of thing). However, if you are going to use an e-list as a method of conducting board business, then it all board members should have access to it. "Excluding a board member from the e-list" shouldn't be allowed, but once a person is removed from the board then they can be removed from the list as well. But don't expect to find that in RONR, other than some general principles.
