Guest booster member Posted August 11, 2014 at 07:27 PM Report Share Posted August 11, 2014 at 07:27 PM We have a new president who is bent on changing our bylaws since they have not been done in a few years. She has a dislike for one member of the board so she is writing her position out of the bylaws. We were given several pages of changes with either lines drawn threw them or words added. According to RONR it should have the original version, the version with the changes made and then one that shows how it would read if adopted and who submitted the change. We did not receive any of that. They have been tabled twice now. She does what she wants and we find out later about what she has done. Most of the board is ready to quit because of her. She stood before the membership meeting last time and said she is smarter that what we think. What is the correct way to have changes made to the bylaws? If you do not have a copy of the bylaws the papers that they emailed to you make no since to you since you do not have anything to look at to see what was there to begin with. I have looked and cannot find an example of how it is supposed to look so they can be done the correct way. When the pl was asked how something was done his answer was that he does what she (pres) tells him to. What is our recourse or do you know where I can find an example of the correct way to submit a change for the bylaws. Some sections are being taken completely out while others are taking out some words and inserting other words Thanks

That depends on what the changes are. In some cases, the changes are interrelated so they must be handled together. In other cases, they are independent and could be handled individually. But even then, it might make sense to handle them as one motion.
Edgar Guest Posted August 11, 2014 at 09:04 PM Report Share Posted August 11, 2014 at 09:04 PM She stood before the membership meeting last time and said she is smarter that what we think. Forget about the bylaws. Get a new president. See FAQ #20.
Josh Martin Posted August 12, 2014 at 12:53 AM Report Share Posted August 12, 2014 at 12:53 AM when these changes come up for vote to the general membership, each one has to be voted on, not as do you accept all changes made correct? If these are presented as individual amendments, they will be voted on individually. If it is presented as a complete revision of the bylaws, then one vote will be taken on the revision as a whole... but the revision is debatable and amendable, so it's not a straight "up or down" vote.
