George Mervosh Posted August 15, 2014 at 03:19 PM Report Share Posted August 15, 2014 at 03:19 PM If a board member refused to attend a board meeting how should that board memberapprove the minutes? Abstain or disapprove minutes? His level of participation in their approval (there is no disapproval) is up to him. " It should be noted that a member's absence from the meeting for which minutes are being approved does not prevent the member from participating in their correction or approval." Gary Novosielski Posted August 15, 2014 at 04:26 PM Report Share Posted August 15, 2014 at 04:26 PM If a board member refused to attend a board meeting how should that board memberapprove the minutes? Abstain or disapprove minutes? Just like any member who was there. He may be less likely to have corrections to offer, but then again he may not. In any case, there is no special handling required. Rev Ed Posted August 15, 2014 at 04:53 PM Report Share Posted August 15, 2014 at 04:53 PM If a board member refused to attend a board meeting how should that board memberapprove the minutes? Abstain or disapprove minutes? The member can offer any corrections (incorrect wording, typing mistakes, the attendance or lack of attendance of members, etc.) that the member is aware of. However, as there is not supposed to be any vote on the Minutes themselves, and virtually all corrections are offered by unanimous consent, there is no option to 'disapprove' the Minutes (i.e. vote no.) Edgar Guest Posted September 3, 2014 at 09:32 PM Report Share Posted September 3, 2014 at 09:32 PM Can members who were not present at a meeting vote to approve minutes from that meeting? Have you read the previous replies? I'm not sure there's more we could add. Every member present at a meeting has the right to vote. It doesn't matter if he missed the previous meeting or if he missed all previous meetings. If he's present he can vote. But, as previously noted, the approval of the minutes should not be put to a vote.
