Guest Dan Hare Posted August 20, 2014 at 09:01 PM Report Share Posted August 20, 2014 at 09:01 PM What happens if a 5 member Board has one member absent, 2 vote to approve minutes and 2 abstain because they were absent from said meeting?
jstackpo Posted August 20, 2014 at 09:16 PM Report Share Posted August 20, 2014 at 09:16 PM All is well -- the minutes were approved.However..... you really shouldn't be making (and adopting) motions to approve minutes -- see p. 354 line 23ff. for the better (and usually MUCH more efficient) way to do the job. Also the two abstainers are being over cautious - they can properly participate in the approval process - p. 355, line 9.
