Guest J kichline Posted August 22, 2014 at 02:15 PM Report Share Posted August 22, 2014 at 02:15 PM Our by laws give the board the authority to remove an officer or board member from office. What if the board refuses to remove an officer that the general membership is unhappy with? Can a request for a vote for removal be done by the general membership? jstackpo Posted August 22, 2014 at 02:21 PM Report Share Posted August 22, 2014 at 02:21 PM Hard to tell without seeing the exact words of your bylaws. Those words would (maybe) suggest that only the Board can remove, but might also suggest that either the general membership or the Board could do so. See Chapter 20 in RONR and also p. 574 & 577-578. Edgar Guest Posted August 22, 2014 at 02:44 PM Report Share Posted August 22, 2014 at 02:44 PM What if the board refuses to remove an officer that the general membership is unhappy with? How did the general membership express its unhappiness? Did it, for example, adopt a resolution directing the board to remove the officer? Official Interpretations 2006-12 and 2006-13 may be instructive.
