Appointing Treasurer in between Board Meetings

If a Treasurer recently resigned and the Board meeting does not take place until October, can the President appoint an acting Treasurer until such time that the Board can elect a new Treasurer? The bylaws are silent on the issue.

Your president has only the (administrative) authority that your bylaws give him. Are there provisions in your bylaws for holding "special" meetings?

Well, unless the resignation was accepted at the last Board meeting, then you still have a Treasurer.

Let's assume that, at the very least, they have a treasurer who's unwilling to act as treasurer.  

 

Also, unless the By-laws state otherwise you can have more regular meetings - like once a month.

Well, they can only have more regular meetings (like once a month) if the bylaws provide for them.

That assumes that the By-laws provide for the number of regular meetings every year.  I know of organizations where this is left up to the Board to decide.

 

Fair enough. But wouldn't the board have to meet to establish additional regular meetings? And, in this instance, the next (regular?) meeting isn't until October and there is no provision for special meetings.

The bylaws (which are on the agenda to be amended) are very general and do not contain any provisions for holding special meetings.

 

Then it seems you will have a Treasurer who is unwilling to perform the duties of office until at least October. The Treasurer's resignation is not effective until it is accepted by the body authorized to fill the vacancy.

 

Do your bylaws even give the board the authority to fill vacancies, or grant the board full power and authority to conduct business between meetings of the membership?

Even if that is the case here, it doesn't do them a lot of good between meetings. :)
