Another Director who is filling out 4 more months of another unexpired term has asked to be appointed to the balance of the two year term. Can these two positions be appointed to to fill out the year or does the general membership need to vote on this and it handled like it normally is w/ annual elections? The board does not have the authority to remove the President and Secretary unless the bylaws so provide, members do not automatically lose good standing by failing to pay their dues unless the bylaws so provide, and being a member in good standing of the club is not a requirement for service on the board unless the bylaws so provide. the VP will automatically fill in as President but doesn't want it....She wants to remain VP. Thank you~ When there is a vacancy in the office of President, the Vice President automatically becomes President, whether she wants to or not, unless the bylaws explicitly provide otherwise. Vacancies may be filled by the board if the bylaws so provide or if the bylaws provide that the board has "full authority" over the society's affairs between meetings of the membership.
