Our yearly meeting has come and gone without anyone saying anything until 2 weeks later it was brought to our attention. We will not have another member meeting for a year. Can the president appoint someone to this position until that meeting. Can we send out to the membership ballots and do it via mail? Your board might be able to fill the vacancy until you can hold an election. It's much more doubtful that your president could. You can't conduct a vote by mail unless your bylaws authorize absentee voting. The best option might be to let the seat remain vacant. And be more vigilant next time. The annual meeting is (presumably) a meeting of the general membership (not the board). So each and every member has a responsibility to know what needs to be done, not just the board members. Can we send out to the membership ballots and do it via mail?Only if the bylaws specifically authorize the use of mail-in voting. Or do we have to call a membership meeting (will be impossible to get quorum) .Quite possibly. Ultimately you are going to need to look to the bylaws to determine how to proceed. However, depending on how the bylaws define the term of office for the Board member he might remain in office until an election can be held. If the term of office is a fixed term of office and (or, or) a successor is elected (or similar language) the Board member will remain in office until the election is held. On the other hand if the term of office is a fixed term without any other qualifying language the office fell vacant as soon as the term expired. See RONR pp. 573-574.
