Guest Dave Hill Posted September 9, 2014 at 05:10 PM Report Share Posted September 9, 2014 at 05:10 PM Hello,We have had the question of if our Little League *( Non Profit)board is allowed to vote on anything 30 days before election of new board? Our LL Constitution states meetings will be run under Roberts rules unless in conflict with our Constitution or LL rules. We started the process of replacing 2 managers for 2015 by advertising in early August, a committee then interviewed and approved 2 candidates.A member is blocking the approval by stating the acting board is not allowed to vote and approve anything 30 days before new board is elected. Our elections are Sept 15 , but our calendar year runs Sept 30. As stated this process was started in the first week of August.Could you please advise if this is true, in my 10 plus years as a board member I have never heard of this. Richard Brown Posted September 9, 2014 at 05:14 PM Report Share Posted September 9, 2014 at 05:14 PM There is nothing in RONR that prohibits an existing board from voting on something within 30 days (or any other time period) prior to an election. They can vote and conduct business until the minute their terms expire. Any such restriction on the right to vote would have to be contained in your bylaws or some other rule that you are bound to abide by. Edited to add: Ask the member who is objecting to provide a citation for his position.
Bruce Lages Posted September 9, 2014 at 05:22 PM Report Share Posted September 9, 2014 at 05:22 PM Your board is a continuing entity, only with different members from time to time as some members' terms expire and new members are elected. There is nothing in RONR, and it certainly makes no sense, that a board would be prohibited from carrying out its duties for any time period before an election. Mr. Brown gave you a good suggestion - make the member who is making this claim to show you where he got it from.
