Guest Sherry Posted September 10, 2014 at 06:37 PM Report Share Posted September 10, 2014 at 06:37 PM In September 2013 we changed our by laws to have the Board Members put in classes. One third of the board would go off the board each year. New members would serve a three year term. The Board President placed them in classes according to the time they came on the board. One group to go out this November and new members or members voted back on to serve a three year term. Was this not the proper way to get in synch with the new by law changes. All board members going out have been on the board longer than three years.
Gary Novosielski Posted September 10, 2014 at 07:14 PM Report Share Posted September 10, 2014 at 07:14 PM You can implement this however it pleases the assembly. The only problem I see is that the president has no inherent power to place people into the classes that he wants. That ought to be a decision process set out in the rule, or agreed to by the assembly.

I agree, though it seems he did so based upon their length of service which, absent any proviso when the bylaws were changed, seems a reasonable approach. Note: I was at first going to question the use of the term "classes" as I was thinking "first-class", "second-class", etc., but what I think is meant is that, for example, three members of the board will be the Class of 2012, three will be the Class of 2013, and three will be the Class of 2014. It's a bit unusual but perhaps it helps the organization make sense of the staggered terms.
