I suppose if can view the "Hearing Board" as an entity, vacancies could be filled by the same way the current members got on the board. It could get a bit dicey, however, to sort out whether the "Hearing Board" could act (sort of) independently from the Board of Directors. Are the conflicts defined in your bylaws?
