We told them they would have "voice but not vote" - we also told them that having voice meant that they could make motions. What we did not do (oops) was put anything in our bylaws. Presumably we will amend our bylaws at our next agm - but in the mean time, can the BOD grant these two individuals the right to speak and/or the right to make motions at board meetings? Yes, the Board can grant permission to them to attend board meetings, to speak in debate, and even to make motions.... but not to vote. That is something that only members can do. RONR page 263.
