Guest denise Posted October 5, 2014 at 05:18 PM Report Share Posted October 5, 2014 at 05:18 PM Can a member of a board make a motion that contradicts the by-laws? Such as skipping an election, or changing rules that an officer has to be on board for a year before they can become an officer? thanks!
Richard Brown Posted October 5, 2014 at 05:39 PM Report Share Posted October 5, 2014 at 05:39 PM He can make the motion... just as any member can propose any motion, no matter how ridiculous.... but if the assembly adopts it, it will constitute a continuing breach and will be null and void and can be challenged with a point of order at any time in the future. Josh Martin Posted October 5, 2014 at 06:54 PM Report Share Posted October 5, 2014 at 06:54 PM Can a member of a board make a motion that contradicts the by-laws? Such as skipping an election, or changing rules that an officer has to be on board for a year before they can become an officer? A member can make such a motion, but the chair should rule the motion out of order. As noted, such a motion is null and void even if adopted. No, such a motion would not be in order.Perhaps we are getting into semantics, but a member can make such a motion, can he not, regardless of whether it is in order? I think Josh and I correctly answered Denise's question. We all agree that such a motion should be ruled out of order, but that doesn't prevent someone from making the motion.
