Guest Dan Posted October 5, 2014 at 07:48 PM Report Share Posted October 5, 2014 at 07:48 PM Our Executive Committee of the Board presented an issue to the full Board in September via email for consideration because it was timely and the next Board meeting would not occur in time to make the decision (mid-October). Board members were invited to respond either yes or no regarding their support for the issue. The vote was overwhelmingly positive and the issue has moved forward. Now, our President is asking if the "referendum" (i.e., the email vote) needs to be formally adopted at the upcoming Board meeting. I couldn't find "referendum" in Roberts Rules of Order and am wondering how to advise our President.
Kim Goldsworthy Posted October 5, 2014 at 08:01 PM Report Share Posted October 5, 2014 at 08:01 PM Yes, it must be voted on, to "ratify" the inquorate action you took in September. Under strict Robert's Rules of Order, no voting via email is allowed, short of a bylaws-level rule, or higher, which says otherwise.
