Our by-laws do not state that that a phone conversation to each individual member of the executive board is allowed. Only 4 out of 5 executive members were contacted to remove an officer of the executive board. Is this invalid? No opportunity to defend himself was given. It constitutes a continuing breach, so, at the earliest opportunity, in a proper meeting, raise a point of order that the vote was invalid. You may have to appeal from the ruling of the chair. Be prepared to persuasively argue your point. Don't count on others to "do the right thing". They may not know better or they may just not care. The removal is also flawed for failure to provide the accused with due process.... unless your bylaws authorize this sort of thing. It is strictly prohibited by RONR. See chapter XX on discipline. Aren't these members elected by the general membership? It may well be that even if this was done at a properly called meeting, it would go beyond the powers that the executive board has.
