Hieu H. Huynh Posted December 4, 2014 at 10:45 PM Report Share Posted December 4, 2014 at 10:45 PM Your bylaws should specify how vacancies are filled. If they are silent on this subject, vacancies in any office are filled by the body that elected them.
Gary Novosielski Posted December 5, 2014 at 02:00 PM Report Share Posted December 5, 2014 at 02:00 PM Also, it's not clear what you mean by "vacates". Did the secretary resign, move away, simply stop doing the job of secretary? There may be other details to clear up regarding the "vacancy" beyond simply deciding on a replacement.
