Secretary duties

A secretary pro tem should be elected for the meeting.

And usually that's done by unanimous consent with the chairman, right after calling the meeting to order, saying something like, "Since we currently do not have a secretary, I have asked Robert Finicky to serve as secretary pro tem for this meeting.  Is there an objection?  Hearing none, Robert Finicky shall serve as secretary pro-tem".

 

If there's an objection, then you have to elect someone.

If this a board meeting and not a general meeting, the only members that can vote are the board members. Does this still apply?

Does this still apply if the secretary resigns?  Yeah.  It always applies.

 

But it raises some additional questions:

  • Was the secretary's resignation accepted?  By whom?
  • Was the secretary a member of the board?
  • Did the secretary just resign as secretary? from the board?  from membership?
  • What does any of this have to do with non-members voting?  If you're thinking of appointing a non-board-member to take minutes, that might be okay, but no that person would not have a vote.
  • Do your bylaws say that the secretary must be selected from among the board members?
