Edgar Guest Posted December 10, 2014 at 10:28 PM Report Share Posted December 10, 2014 at 10:28 PM In the absence of the president, the vice-president's role is limited to presiding at the meeting. Any administrative authority the president might have does not transfer to the vice-president.
Robert B Fish Posted December 10, 2014 at 10:29 PM Report Share Posted December 10, 2014 at 10:29 PM The authority of the chair is not the same as the authority of the president. Unless it's a violation of applicable statutes or other superior rules you can adopt rules to restrict or allow nearly anything. Beware, you deserve the bylaws you adopt. -Bob
jstackpo Posted December 10, 2014 at 10:32 PM Report Share Posted December 10, 2014 at 10:32 PM Any power that the president exclusively has to make (or undo) appointments to committees (per the bylaws) do NOT devolve on the Vice-president when the president is absent from a meeting. p. 495, line 18ff. Josh Martin Posted December 11, 2014 at 12:03 AM Report Share Posted December 11, 2014 at 12:03 AM May the Vice President make appointments or appointment withdrawals if the President is absent from a Board of Director meeting? If the bylaws authorize the President to make certain appointments, no, the Vice President may not make such appointments in the President's absence.May a change be made to the bylaws to restrict the above action? It's already restricted. There would need to be a rule in the bylaws to permit this action.

Hieu H. Huynh Posted December 22, 2014 at 01:25 AM Report Share Posted December 22, 2014 at 01:25 AM In the "Abbreviations In This Book" section before the Table of Contents in RONR, it shows "ff." to mean "And the pages immediately following the given page". In this context, I think it was shorthand for "and the following lines".
